Terms and Conditions of Service — Atlas

These Terms and Conditions ("Terms") govern the use of the Atlas application ("Atlas", "the Service") provided by Axxell, VAT 03148500352, with registered office at Via Provinciale 40, 42030 Viano (RE), Italy ("Provider", "we"). By using Atlas you ("User", "you") accept these Terms. If you do not accept them, do not use the Service.

1. Subject

Atlas is a personal AI-based assistant for macOS, offering voice features, productivity tools (tasks, calendar, notes), email management, and business analytics ("Business Connect"). The available features depend on the plan you subscribe to and on the permissions/connections you enable.

2. Licence to use

We grant you a personal, non-exclusive, non-transferable and non-assignable licence to use Atlas for the duration of the subscription.

• The licence is tied to your account and bound to the number of devices allowed by the plan (normally 1 Mac), through a device binding system that identifies the device. Use of the same key beyond the limit is blocked.
• You may not share, resell, sublicense the key, or circumvent device limits, fair-use, or technical protection measures.
• You may not decompile, reverse engineer, or create derivative works, except within the mandatory limits of the law.

To change device you may ask us to unlock/reset the associated devices.

3. Subscription, payments and withdrawal

• Atlas is offered on a subscription basis (e.g. Pro plan and Students plan), at the prices shown at the time of purchase.
• The seller of the Service is Axxell (VAT 03148500352), which issues the relevant tax documentation. Payments and renewals are processed on our behalf by the payment provider Stripe (Stripe Payments Europe, Ltd.), subject to its terms; card data is handled directly by Stripe and does not pass through our systems.
• The subscription renews automatically at the end of the period, unless cancelled before renewal.
• Right of withdrawal (consumers): if you are a consumer under applicable consumer law, you have a 14-day right of withdrawal. By activating the Service (digital content/service) before that period expires and expressly agreeing, you acknowledge that the right of withdrawal may lapse once provision begins, within the limits of the law.
• Refunds: any refunds are handled by us according to this policy and applicable law; for requests write to info@axxell.ai.

4. Acceptable use and fair-use

• You undertake to use Atlas in compliance with the law and not to use it for unlawful, abusive activities, or activities that infringe third-party rights.
• The Service applies a fair-use limit on the consumption of AI/voice resources per billing cycle. Beyond the threshold, the Service may temporarily reduce performance (e.g. a lighter model) until the next cycle, without terminating the relationship.

5. Third-party services and content

Atlas integrates with third-party services (AI models, voice synthesis/recognition, Google, banks via open banking, Fatture in Cloud, WhatsApp, Spotify, etc.). Use of such services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or changes of third-party services. Data processing is described in the Privacy Policy.

6. Intellectual property

Atlas, its software, trademarks, interface and content are owned by the Provider or its licensors. These Terms do not transfer to you any intellectual property rights, except the licence to use under §2. The content you generate or provide remains yours.

7. Nature of artificial intelligence — no accuracy warranty

Atlas uses AI models that may produce incorrect, incomplete or inappropriate results ("hallucinations"). The information provided by Atlas does not constitute professional advice of a legal, tax, accounting, financial or medical nature. Always verify relevant information and actions (sending emails, orders, operations on business or banking data) before relying on them. Use of Atlas for material decisions is at your own risk.

8. Limitation of liability

To the maximum extent permitted by law, the Service is provided "as is" and "as available". We do not warrant that it is error-free or always available. We are not liable for indirect, incidental or consequential damages, nor for loss of data, lost profits or business interruption. Our total liability is in any case limited to the amount you paid for the Service in the last 12 months. Nothing in these Terms excludes liability that cannot be excluded by law (wilful misconduct, gross negligence, personal injury, mandatory consumer rights).

9. Suspension and termination

We may suspend or terminate the Service in the event of a breach of these Terms, fraudulent use, non-payment or legal obligations. You may terminate at any time by cancelling the subscription and uninstalling the app. Upon termination, the licence to use ends; local data on your device remains until you delete it.

10. Changes to the Terms

We may update these Terms. Changes will be communicated via the app or by email and will apply from the next renewal or upon acceptance. Continued use of the Service after notice constitutes acceptance.

11. Governing law and jurisdiction

These Terms are governed by Italian law. For consumers, the mandatory jurisdiction of their place of residence/domicile applies. For other relationships, the Court of Reggio Emilia has exclusive jurisdiction.
